1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “client”), and Yogi Technolabs Pvt. Ltd. (“Company,” “we,” “us,” or “our”), concerning your access to and use of our website as well as any other services we provide (“Services”). You agree that by accessing the site or using our Services, you have read, understood, and agree to be bound by all of these Terms and Conditions.

2. Description of Services
Yogi Technolabs Pvt. Ltd. provides custom software development, mobile application development, web development, IT consulting, and related services. The specific scope, deliverables, timelines, and fees for any project will be detailed in a separate Master Service Agreement (MSA) or Statement of Work (SOW), which will be signed by both parties. The MSA or SOW will supersede these general terms in case of any conflict.

3. Intellectual Property Rights

• Our IP: Unless otherwise indicated, the website and all its content (source code, databases, functionality, software, text, graphics, logos) are our proprietary property and are protected by copyright and trademark laws.
• Client IP: For client projects, unless otherwise specified in the governing MSA or SOW, all intellectual property rights to the custom software, code, and deliverables (“Work Product”) will be transferred to the client upon our receipt of full and final payment for the relevant services. We reserve the right to reuse non-proprietary, general-purpose code, libraries, and expertise gained during the project.

4. Payments and Fees
All fees for Services will be outlined in the corresponding SOW or proposal. Payments are due as per the schedule defined in the invoice or agreement. Late payments may be subject to interest charges at a rate of 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend work or withhold delivery of the Work Product if payments are not made on time.

5. Confidentiality
Both parties agree to keep confidential all information received from the other party that is marked as “Confidential” or that reasonably should be understood to be confidential. This includes business strategies, client lists, technical data, and project details. This obligation will typically be governed in more detail by a Non-Disclosure Agreement (NDA).

6. Warranties and Disclaimers

• Our Warranty: We warrant that our Services will be performed in a professional and workmanlike manner. For a specific period as defined in the SOW (e.g., 30-90 days after deployment), we will remedy any defects or “bugs” in the Work Product that are a direct result of our development work, at no additional cost.
• Disclaimer: EXCEPT AS EXPRESSLY PROVIDED IN THE MSA OR SOW, OUR SERVICES AND THE WEBSITE ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

7. Limitation of Liability
IN NO EVENT WILL YOGI TECHNOLABS PVT. LTD. OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICES DURING THE THREE (3) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

8. Term and Termination
These Terms and Conditions shall remain in full force and effect while you use our website or Services. Either party may terminate a service agreement as per the terms outlined in the governing MSA or SOW. We reserve the right to deny access to and use of our Services to any person for any reason, including for breach of any representation, warranty, or covenant contained in these Terms.

9. Governing Law and Jurisdiction
These Terms shall be governed by and defined following the laws of India. Yogi Technolabs Pvt. Ltd. and yourself irrevocably consent that the courts of Ahmedabad, Gujarat shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
